1. Introduction & Acceptance of Agreement

Access to the Platform from territories where its contents or algorithmic trading tools are contrary to local law or regulation is strictly prohibited.

3. Scope of Services & Technology Provision

Thach Nganvinh provides automated algorithmic intelligence, market modeling, signal generation, and digital asset analytics designed for informational and analytical assistance. Thach Nganvinh operates strictly as a financial technology vendor and technical infrastructure developer.

  • We do not provide personalized financial, investment, legal, tax, or accounting advice.
  • We are not a broker-dealer, custodian, asset manager, or portfolio manager under the Financial Services and Markets Act 2000 (FSMA) or comparable frameworks.
  • You retain sole discretion, management, and control over your accounts, API keys, and investment decisions.

4. User Responsibilities & Acceptable Use

As an authorized user of the Platform, you agree to comply with all applicable local, national, and international laws and regulations. You specifically agree that you will not:

  • Use the Platform to execute market manipulation, spoofing, wash trading, or unauthorized automated high-frequency attacks against third-party liquidity providers.
  • Reverse engineer, decompile, disassemble, or extract proprietary algorithms, source code, or heuristics developed by Thach Nganvinh.
  • Circumvent or attempt to compromise security protocols, API throttling mechanisms, rate limits, or platform access restrictions.
  • Transmit viruses, malware, trojans, or malicious scripts designed to damage, interrupt, or degrade our technical infrastructure.
  • Impersonate any person or legal entity, or misrepresent your affiliation with any entity or regulatory body.

5. Intellectual Property Rights

All intellectual property rights in the Platform, including but not limited to algorithmic logic, trade secrets, software code, graphic designs, logos, trademarks, and user interfaces, belong exclusively to Thach Nganvinh or its licensors. Subject to continuous compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Platform for your personal or internal business operations.

6. Disclaimers & No Warranties

The Platform is provided strictly on an "as is" and "as available" basis without warranties of any kind, whether express, statutory, or implied. To the fullest extent permitted by applicable law in England and Wales, Thach Nganvinh disclaims all warranties, including merchantability, fitness for a particular purpose, uptime reliability, algorithmic accuracy, and non-infringement. We make no warranty that algorithmic models will generate profits, avoid losses, or function without latency or system interruption.

7. Limitation of Liability

Under no circumstances shall Thach Nganvinh, its directors, employees, affiliates, or technical partners be liable for any indirect, incidental, punitive, consequential, or exemplary damages, including but not limited to loss of capital, loss of profits, trading slippage, hardware failure, exchange insolvency, or loss of digital assets. Our aggregate liability arising out of or related to your use of the Platform shall in no event exceed the total amount paid by you to Thach Nganvinh during the twelve (12) months preceding the event giving rise to liability.

8. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

9. Amendments & Modifications

We reserve the right to revise and update these Terms at our sole discretion. Any changes become effective immediately upon posting to the Platform. Your continued use of our services following any posted updates constitutes your acceptance of the revised terms.
